Agreement to Terms

By accessing, browsing, or using the AutoFlow website (autoflow.llc), any subdomains, and our AI-powered chat agent services (collectively, the "Services"), you acknowledge that you have read, understood, and agree to be bound by these Terms of Service ("Terms"). If you are using the Services on behalf of a business, you represent that you have authority to bind that business to these Terms.

Description of Services

AutoFlow provides artificial intelligence-powered chat agent solutions for local businesses, including but not limited to:

• Custom AI chatbot development and deployment
• Integration with client websites and platforms
• Lead capture and management systems
• Business hours configuration and automation
• Analytics, reporting, and dashboard access
• Customer support and account management
• Third-party platform integrations (booking, CRM, messaging, calendar)
• Multi-language AI agent capabilities

Eligibility and Authority

You represent and warrant that:

• You are at least 18 years of age and have the legal capacity to enter into binding contracts
• You have the authority to bind your company or organization if signing on behalf of a business
• All information you provide is accurate, complete, and current
• You will maintain the accuracy of your account information

User Accounts and Security

Account Registration

You may be required to create an account to access certain features. You agree to:

• Provide accurate and complete registration information
• Maintain the security of your account credentials
• Promptly notify us of any unauthorized access or security breach
• Accept responsibility for all activities under your account

Account Termination

We reserve the right to suspend or terminate accounts that violate these Terms, engage in fraudulent or illegal activity, damage or disrupt the Services, or fail to pay fees when due.

Payment Terms

Fees and Billing

All service fees are billed monthly in advance. Subscriptions automatically renew each month unless canceled before the renewal date. Setup fees, if any, are charged upon enrollment. All fees are non-refundable unless explicitly stated otherwise.

Payment Processing

Payments are processed through Stripe. By providing payment information, you authorize us to charge applicable fees to your payment method.

Price Changes

We reserve the right to modify pricing with thirty (30) days' written notice. Existing clients' rates remain locked for sixty (60) days following any price increase.

Late Payments

If payment is not received on the due date, AutoFlow may immediately suspend or terminate the Services. You are responsible for all collection costs, including attorney fees.

Service Level and Availability

We strive to maintain 99.9% uptime but do not guarantee uninterrupted service. The Services depend on third-party infrastructure which may experience outages. We reserve the right to perform scheduled maintenance with reasonable advance notice.

Intellectual Property

Our Property

All rights, title, and interest in the AutoFlow Services — including patents, copyrights, trademarks, trade secrets, source code, and algorithms — remain our exclusive property.

Client Data

You retain all rights to your business data and customer information. By using our Services, you grant us a limited license to process your data solely for providing the Services. We may use anonymized aggregated data to improve our AI models, provided it cannot identify you or your customers.

AI-Generated Content

Responses generated by AI agents may be inaccurate, incomplete, or inappropriate. We do not guarantee the accuracy or legality of AI-generated content. You are responsible for reviewing and approving all AI configurations before deployment.

Acceptable Use

You agree NOT to use the Services to:

• Generate harmful, illegal, defamatory, or misleading content
• Violate any laws, regulations, or third-party rights
• Attempt to reverse engineer or copy our technology
• Interfere with or disrupt the Services or servers
• Transmit viruses, malware, or malicious code
• Engage in fraudulent activity or impersonate others
• Collect personal data about others without consent
• Send spam, phishing, or unsolicited communications

You are responsible for ensuring your AI agents comply with TCPA, CAN-SPAM, and all applicable communications laws. Violations may result in immediate account termination without refund.

Third-Party Services

Our Services integrate with third-party platforms including Stammer AI, Supabase, Clerk, Stripe, Google Workspace, and various calendar, booking, CRM, and messaging platforms. We are not responsible for third-party services' practices, policies, or performance.

Indemnification

You agree to indemnify and hold harmless AutoFlow, its officers, directors, employees, agents, and affiliates from any claims, damages, losses, liabilities, costs, or expenses arising from your use of the Services, your Client Data, your business practices, violations of these Terms, or claims from your customers related to the Services.

Disclaimers

• AI-generated content may be inaccurate, biased, or inappropriate
• We do not guarantee customer acquisition or revenue increases
• Service availability is not guaranteed
• Third-party integrations may fail or change without notice
• You are responsible for compliance with applicable laws in your jurisdiction

Force Majeure

We are not liable for failures or delays caused by circumstances beyond our reasonable control, including natural disasters, war, cyber attacks, AI provider outages, infrastructure failures, or third-party service provider failures.

Termination

Termination by You

You may cancel your subscription at any time through your account dashboard or by contacting support. No refunds will be provided for the current billing period upon cancellation.

Termination by Us

We may suspend or terminate your account immediately if you violate these Terms, fail to pay fees, or if your use creates legal liability. If we discontinue the Services entirely, we will provide thirty (30) days' written notice.

Dispute Resolution

Arbitration Agreement

Any disputes arising from these Terms shall be resolved through binding arbitration in the State of Michigan, USA, in accordance with the American Arbitration Association's Commercial Arbitration Rules, conducted by a single arbitrator.

Class Action Waiver

You agree that any arbitration shall be conducted on an individual basis only. You waive any right to participate in class actions or representative actions.

Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Michigan, USA, without regard to conflict of law principles.

Additional Provisions

Privacy and Data Protection

Your privacy is governed by our Privacy Policy, incorporated into these Terms by reference.

Confidentiality

You agree to maintain the confidentiality of any proprietary information disclosed by AutoFlow, including pricing, business methods, technology, and trade secrets.

Modifications to Terms

We reserve the right to modify these Terms at any time. Material changes will be communicated via email or website notice. Continued use after changes constitutes acceptance.

Severability

If any provision of these Terms is found unenforceable, the remaining provisions shall remain in full force and effect.

Entire Agreement

These Terms, together with our Privacy Policy and any other referenced agreements, constitute the entire agreement between you and AutoFlow regarding the Services.

Survival

Provisions regarding intellectual property, limitation of liability, indemnification, dispute resolution, and confidentiality shall survive termination.
